To be an Independent Business Owner of Winstone Retail Pvt .Ltd. a person has to submit his/her KYC form along with an ID proof and address proof. Any person can join the company for free and start his/her business according to the company’s plan.

In case of an individual applicant, he/she shall be over 18 years of age. In case of business entity, it shall be properly registered in the state of residence of the Firm’s Proprietor /Managing Partner.

A Distributor has full rights to apply with us as a business firm , thereafter trade under the same .The Distributor shall mention an individual name with Winstone Retail Pvt .Ltd. Which will correspond, where after all the correspondence from Winstone Retail Pvt .Ltd. shall only / whatsoever be addressed to him/her.

A person becomes Winstone Retail Pvt .Ltd. Independent Business Owner only after the acceptance of the registration from by the company .The company hold all the rights to accept or reject the application submitted by a person.

A consultant shall have only one introducer.

An introducer is the one who introduces a person to Winstone Retail Pvt .Ltd. hereafter called an upline. An applicant for a Distributor who is in turn becomes an Distributor by virtue of Winstone Retail Pvt .Ltd. acceptance of their Distributor application and agreement from.

A Distributor shall not resign from one name and rejoin under a different name immediately. Shall he wish to do so; Winstone Retail Pvt .Ltd. gives consent to do so only after 06 months after acceptance of the resignation.

A Distributor shall bear all the charges whatsoever recurring occurring during the trading /retailing of company’s product.

Winstone Retail Pvt .Ltd. has formatted terms and condition for Distributor’s terminaton. Should any consultant wish to resign; he/she should go through the same . Winstone Retail Pvt .Ltd. cannot/should not be hold responsible for any misinterpretations made by the Distributor wishing to resign.

A Distributor shall have the liberty to conduct /operate their trading /retailing business without any hindrances from geographical/transnational bindings, only if Winstone Retail Pvt .Ltd. has established a corporate presence in the said country.

A Distributor shall/may change his/her status from an individual to a business entity with proper documentation detailing all owners, partners stock holders, officer and directors of the business entity .The individual submitting the form must provide adequate documentation to Winstone Retail Pvt. Ltd. verifying that they are authorized to enter into binding contract for the business entity.

When request for change of status ,the Distributor applicant must certify that no person in the said business entity has had a registration from Winstone Retail Pvt. Ltd. within last six (6) months, prior to submission of the from .However ,it may be the case if / unless it is the continuation of an existing registration that is changing status .

Winstone Retail Pvt. Ltd. does not have the provision for a registered married couple or a defector married couple in any circumstances; sponsor each other or are being sponsored by two different distributors.

Therefore, a husband and wife may not be enrolled in different lines or organizations. This limitation also applies to any interlocking directorship or shareholding that may exist from a business/distributor relationship. However, should to Distributors marry and they both have the status of Star Director or above, they will be allowed to keep their respective down lines.

If a married couple divorces ,the Registration shall be maintained in the name of the principal signatory on the Distributor application and agreement form unless Winstone Retail Pvt .Ltd. receives a certified copy of the Divorce Decree which orders otherwise.

An Distributor shall not resign from their registration and have their spouse join under another registration whether the spouse was a co-applicant or not.

Winstone Retail Pvt. Ltd. shall make any change only if forwarded to the company in writing and the change will be effective from the date of intimation being sent to you .Non-receipt of this intimation letter, shall be interpreted as non-acceptance of the requisition of change in status by Winstone Retail Pvt. Ltd. The right to accept to accept or reject the change in status with or without transmitting any explanation shall rest with Winstone Retail Pvt. Ltd. Till such occurrence ,the exiting status will prevail. No Distributor shall represent that he/she has any employment with Winstone Retail Pvt. Ltd. Whatsoever each Distributors status is/and will always be,of an Distributor operating his/her own business .No Distributors shall in no condition imply that they are employees of Winstone Retail Pvt. Ltd., not shall they refer themselves as agents or company representative ,also refrain from use of such terminology or descriptive phrases on their stationery or other printed material that may lead to this conclusion. Winstone Retail Pvt .Ltd. cannot permit any relationship between ,or representation by Distributor ,which may impose liability on Winstone Retail Pvt. Ltd. It is solely the enrolling prospect’s responsibility to read and understand all the terms and conditions stated behind the application from. Any misconception or conclusion drawn apart from the intention of the company , thereafter Winstone Retail Pvt. Ltd. shall not/cannot be held accountable.

To abide by all rules, regulation, law and ordinances applicable to the operations as an Distributors of Winstone Retail Pvt. Ltd. The Multi Level Marketing Business, with the standards of honesty and integrity .

To refrain from producing, selling and/ or distributing any business supporting materials/sales aid which are deceptively similar to the literature or material published by Winstone Retail Pvt .Ltd. to any of its' Distributor’’ or prospective , which could create the impression in a reasonable mind that such literature or materials emanated from Winstone Retail Pvt .Ltd. Or its publication was authorized by Winstone Retail Pvt .Ltd.

To refrain from introducing or selling products /services not manufactures or are parts of the company's networking system, through the company's network of 'Distributor'.

To ensure that Winstone Retail Pvt Ltd. products are only sold at the MRP to all Distributor and not at a higher price taking undue advantage of any of the Distributor limitation to confirm the actual price.

To refrain from owning or having a financial interest in more then one Registration .The company reserves the right to terminate outright , any ‘Distributor , if found to be registered for a second time, arbitrarily without any notice whatsoever , may be if the company deems it fit to initiate any legal proceeding to safeguard its interest.

To refrain from selling, assigning or transferring an existing Registration to any other person without the prior written consent of the company.

The company will not be responsible will not be responsible /culpable for delay for unforeseen or otherwise ,in delivery of ordered merchandise leading to back order to a order situation.

Distributors shall place all order on the official company Distributor Purchase Form POF(Product Order Form).Order could either be placed at the Home Offical directly or through any of our authorized Stockists.

Distributor shall ensure that POF is duly filled and singned ,also ensure that the POF bears the stockist signature and stamp ,before forwarding of the same.

Winstone Retail Pvt .Ltd. Stockist shall ensure at the time he/she is submitting the POF and SSR ,they are respectively duly filled, signed and stamped .In any condition if the POF and SSR cannot be duly signed and stamped ,the Stockists is bound to lose 6% of the stockist fee.

All outstation Stockists catered by their respective Consignment Agent ,if the Winstone Retail Pvt .Ltd. Authorized stockist wish to make submission directly to the home office will not eligible for the 6% stockist fee.

Winstone Retail Pvt .Ltd. Consigment agent and stockists shall always forward the POF to the Winstone Retail Pvt .Ltd. Home office only when POF is being accompanied by the cash ,banker cheque, bank draft or deposit online/bank transfer or Local cheque, in non-availability of which the order will not be processed till the above are not being debited in Winstone Retail Pvt .Ltd. ACCOUNT.

All orders are subjects to acceptance by the company.

Winstone Retail Pvt .Ltd. shall try/use its entire means to deliver the products order by the Distributors as promptly as possible. Any losses occurred due to delay in the delivery of the same, shall not be liable for any losses as a result of any delay in the delivery howsoever arising.

All orders shall be send withfull payments on a weekly basis. Month end will be the 30th of every month. Incase this date falls on a holiday, the following days will be considered as the last day of the month. For the month of February 28th will be considered as the end of the month.

The month end submission should be sent immediately on the following day by day the centre Stockist to the consignment Agent ,who will compile and send the submission to the company on the same evening by courier such that it reaches the home office positively on or before 6.00p.m on 2nd of every month. In case where there is no consignment Agent ,the centre stockist must ensure that the month end submission reaches the Home office on or before 6:00 p.m on 1st of every month. All month end submission received beyond this deadline will be considered for the following month.

Top Up of BV alone will be permitted at our Home Office and at our authorized stockist Centers on dates as mentioned in clause II ,solely for the purpose of elevating oneself from the existing rank to a higher rank or for making up for any shorts falls in PVB or PGBV or both for the business done in the previous month. No recruitment of Distributors and stockists will be permitted as Top up.

Winstone Retail Pvt .Ltd. Distributor shall sign the delivery note on the receipt of products ,for the purpose acknowledging that the product received are in good condition and any damage/further handling responsibility of the products shall be of the Distributor.

All centre Stockist in location not catered by a consignment agent shall sign the delivery note acknowledging receipt of all products as mentioned and arrange to send the duplicate signed copy back to the home office within a week. Failure to follow this procedure would automatically mean that all the products received are in good condition.

In the Case of consignment agents, the Consignment Material Transfer Note Will have to be signed acknowledging receipt of all products as mentioned there in and the duplicate signed copy shall be send to the Home office within week. Failure to this procedure would automatically stop all further shipments to the consignment Agent.

Winstone Retail Pvt .Ltd. Distributores Centre stockiest shall notify the company in event of shipping discrepancy within (7) working days of the occurrence.

Should any products not be delivered/at the Distributor's/Centre Stockist's appointed address on the relevant order form for whatever reason,(other than incorrect address ,damaged or defective delivery) the Distributor/Centre Stockist shall be liable for any cost the appointed courier may charge in respect thereof .If the products are returned to the company the "Distributor" shall reimburse the company for all charge incurred.

The Sale of all company's product to "Distributor" id final .unsold inventory shall not be returned for refund, exchange or credit .However, centre stockiest, by virtue of purchasing products in bulk may be permitted to exchange products depending on product movement provided the product are unused / undamaged, are in the conditions as received by the recipient .Exchange of packing sizes is only permitted for stockies. Winstone Retail Pvt .Ltd. Accepts product returns under the "100% satisfaction Guarantee".

Incorrect product damaged in shipment to be returned within 15 days of receipt. The product should be accompanied with

Application for the cause of returning. Returned goods must be in perfect condition and where possible ,in their original packing.

Products that have been misused cannot be returned because they do not original packaging.

Only Winstone Retail Pvt .Ltd. Products can return. Non Winstone product, literature, cassettes, etc. which Distributors choose to purchase from their sponsor’s ,star Distributors, or other sources cannot be returned to Winstone Retail Pvt .Ltd. .

Business support material & sale aids like literature, audio-visual aids, Pins and plaques, forms accessories & other promotional items cannot be returned or replaced. These items are business investments meant for optional promotional use.

Any return processed where good are credited will lower you PBV OR PGBV.

Any returned processed and credited to you down line will lower your GBV. This is particularly when attempting to qualify for performance level.

There is no registration fees of any kind to join Winstone Retail Pvt .Ltd. Joining is absolutely free .

If the reigning Distributors has some saleable products to return he will receive the Distributors cost of the products at time of original purchase less any performance bonuses previously received on those products.

Refund will be made by a cheque, which would be sent directly in about one month after submission of his resignation to Winstone Retail Pvt .Ltd.

Adown line tree structure in computer printout will be made available to any active Distributors, upon request being approved by company on any day of the month except following dates 7th to16th and last day of the month i.e.30th.

Winstone Retail Pvt .Ltd. Shall distribute the monthly bonuses for a particular month by the 25th of the subsequent month.

Winstone Retail Pvt .Ltd. will pay the Distribute bonuses based on the statements, which have been received by the company on or before the deadline as mentioned already. Winstone Retail Pvt .Ltd. shall not be responsible for any orders being received after the deadline .However they shall be processed in the subsequent month.

A Distributors shall always review his monthly bonus statements immediately and report any discrepancies within twenty [20] days of receipt .Incase of any discrepancy brought to the notice of Winstone Retail Pvt .Ltd. later then that shall not be entertained.

Winstone Retail Pvt .Ltd. reserves the right to deduct balances due and owing to the company from Distributor payouts, bonuses and incentives.

5% of an Distributor total incentive is deducted as TDS website www.ayurvatika.com wherein an Distributor, can download and print their tree structure at their cost.

In this kind of networking scheme the participants gain incentives bonuses on the number of participants inducted by them in the system, not on the products bought/ sold by them. Moreover the incentives shall be unlimited in a non – pyramid scheme, which is not as such in case of a pyramid scheme. Winstone Retail Pvt .Ltd. independent Business Distributor are not allowed to practice any form of pyramid schemes.

Winstone Retail Pvt .Ltd. Distributor shall/may sell his/her affiliation after the Written Acceptance from Winstone Retail Pvt .Ltd. However the interest of the Upline and the down line shall be kept in consideration by Winstone Retail Pvt .Ltd. before forwarding the acceptance letter of registration sale. Upline shall have the privilege to first refusal. Therefore, it can only be sold to the sponsor or a Distributor who was personally sponsored. The positions will then be combined .A non –Distributor may also purchase affiliation if the sponsor and Distributor who has forfeits the first right of refusal.

No Distributor may own or partly own more than one Distributor .

Any Registration not having purchased 500 BV OR more ,directly from Winstone Retail Pvt .Ltd. during each of the six months prior to the transaction date shall not be given an acceptance letter of sale from Winstone Retail Pvt .Ltd. or transferred. If the new owner is already a registered Distributor, he shall resign from his original/Registration. Any down line he may have ,will roll up to his sponsor and the new owner assumes the position of the seller .Before the sale of an Registration can be approved, written documentation must be sent to Winstone Retail Pvt .Ltd. from all parties concerned.

In the event of death of a Registration will be passed on to the spouse. If the spouse does not exist, then the Registration shall be passed to the legal successor(s).

The following documents must be submitted by the inheriting heir(s):-

A) A copy of the Death Certificate
B) A completed Distributor Application &agreement form.
C) A Legal Heir Certificate .official proof of the beneficiaries must be provided to the company. However Winstone Retail Pvt .Ltd. Will not be party to any division and will only recognize one inheritor, be it an individual, married couple or a business entity .If more than one legal heir exists, then should be authorized in writing on a non – judicial stamp paper to continue the existing Winstone Retail Pvt .Ltd. Business as the sole owner/ legal heir of the deceased and the same shall be notarized by any notary public.

Winstone Retail Pvt .Ltd. Reserve the right to terminate any Registration incase any of terms & conditions are violated, such as, providing false or misleading information ,or failing to close material information ; abusing the privileges of the Winstone Retail Pvt .Ltd.; violating any provision of the business manual ,or any published rules ,regulation ,guidelines or policies of Winstone Retail Pvt .Ltd..In such an event the down line of a terminated Distributor shall pass to the active upline/Distributor. The terminated Distributor shall cease to quality for any bonuses ,incentives, prize and other benefits sponsored by Winstone Retail Pvt .Ltd. terminated Distributor is eligible to re-register as an Distributor after Twelve(12)months and the company reserves the right to accept or reject his/here application as a new Distributor.

Winstone Retail Pvt .Ltd. Distributor have the right to sponsor others. A sponsoring Distributor has the responsibility to assist, train ,develop and monitor the person they introduce, in various aspects of the programme.

Failure to comply with this responsibility could lead to cancellation of the sponsoring Distributors registration and any such cancellation will be at the sole discretion of the company.

In addition, every person has the initial right to choose his or her own sponsoring. If two Distributors claim to be the sponsor of the same new Distributor, the company shall regard the first completed application received by the corporate office as final and binding.

As a general rule, it is a good practice to regard the first Distributor as the sole claim at of sponsorship on account of having meaningfully worked with a prospect .Basic tenets of common sense and consideration should govern.

A sponsoring Distributor must not exaggerate the earning potential that may result from this business opportunity .A sponsoring Distributor is obliged to fairly and fully explain the marketing plan to all prospective Distributors, making sure to stress the importance of sponsoring and retail sales, and that the degree of success is directly related to individual ability and effort.

By developing proper sales techniques and an honest, enthusiastic approach, your Registration can be a very profitable business .By retailing you can make a good living .However ,by retailing and sponsoring you can become financially independent.

Winstone Retail Pvt .Ltd. Does not permit its Distributors to join other MLM companies. Distributors should not have any business interest directly or indirectly with any other Multi level marketing company/s.

Should it be proven reasonable doubt that a Winstone Retail Pvt .Ltd. Distributor has knowingly approached another Winstone Retail Pvt .Ltd. Distributor who is a down line ,up line ,sideline or cross line with the intention of introducing them in to another MLM company , the offending Distributor will have their Registration cancelled immediately.

Winstone Retail Pvt .Ltd. Does not allow changing of sponsors, due to the destabilizing effect it can have on the Distributor force. Changes of sponsorship can be considered, only if there is evidence of unethical sponsoring by the original sponsor.

When an Distributor signs an application & From , it is a written contract. Any Distributor washing to change sponsors will have to resign, leave their entire down line with their original sponsor and wait for six(6) months before re- applying.

Should a Distributor wish to change sponsors the said Distributors must.

Cancel their current Agreement in writing.

Execute a new Distributor application and agreement From not sooner than six(6)moths after the Company has received the current Agreement in writing notice of cancellation.

In case of firm registration, the authorized contact person will not be permitted to register as an individual Distributor under a new sponsor, for a period of six months.

Any request to change sponsors must be submitted to Winstone Retail Pvt .Ltd. In writing.

The Distributor status up on re- acceptance will be that of a new distributor .The Distributors former down line will pass up to the next line.

Before any advertisements are submitted for publication in any advertising medium, whether they use the Winstone Retail Pvt .Ltd. Name ,trademarks or logo or not ,they must be submitted to the Company ,at least 14 days prior to the intended publication ,for approval ,All submission must be mad in writing .The natural of all such advertisement shall be low profile and as determined the Company.

All Distributors agree to indemnify Winstone Retail Pvt .Ltd., and hold it harmless form any and all liabilities including judgments civil penalties ,refunds ,attorney fees, court cost or lost business incurred by Winstone Retail Pvt .Ltd. As a result of any advertising or any unauthorized misrepresentation made by any consultant.

Winstone Retail Pvt .Ltd. Distributors are prohibited from diagnosing or purporting to diagnose any medical condition or prescribe a Winstone product as a specific treatment for any disease or condition.

To do so , or attempting to do so ,may also be a breach of a relevant law or third party rights .

Experiencing Winstone Retail Pvt .Ltd. Products provide the consumer with an opportunity to reach a personal conclusion without influence or inducement.

However, a Distributor may supply current product catalogs given by Winstone Retail Pvt .Ltd. From time to time.

Distributors have no authority to bind Winstone Retail Pvt .Ltd.To any obligation, representations or commitments .Each Distributor shall hold Winstone Retail Pvt .Ltd. from any claims, damages or losses arising out of the conduct or vocal of Distributor.

Distributors are not under any obligation to attend all seminars / conference held by Winstone as for training or reward distribution, however attendance is encouraged and is very beneficial.

Appropriate business attire is required at the business development Seminars and training sessions.

The Winstone Retail Pvt .Ltd. is built upon retail sales to the Distributors through the Distributors as well building new Distributors but the only motive of Winstone Retail Pvt. Ltd. Does not remain to sell products in unreasonable amount to Distributors if not so requied. Winstone Retail Pvt .Ltd. strictly prohibits the purchase of inventory in unreasonable amount, solely for the purpose of qualifying for bonuses or incentive increment. Although Winstone Retail Pvt .Ltd. does recognize the capabilities of certain entrepreneurial Distributors to develop a larger requirement base with a significant inventory purchase .

All forms of stockpiling for the sole purpose of qualifying for bonuses and incentive increment. Although the marketing network are strictly prohibited.

Winstone Retail Pvt .Ltd. Persuades the Distributors to monthly maintenance of 500 BV is insisted upon each Distributors with the sole intent of marking the Distributors share his products with Distributors and prospects, so that they satisfy themselves about the benefits of the products. Hence all Distributors those who are eligible for a bonus cheque will have to necessarily comply with the monthly requirement of 500 BV.

Winstone Retail Pvt .Ltd. Reserves all rights to review the monthly margin of maintenance of 500 BV by increasing or decreasing the same without any prior notice to the Distributors .

Winstone Retail Pvt .Ltd. Takes a seriouns view of allegations of unlawful or unethical direct sales activities being carried out by any independent business Distributor under investigation, no matter if the same is unfounded , but if proved correct could be detrimental to Winstone and family of Distributors.

Independent business Distributors are therefore required to report, in writing, any allegations of unethical direct sales activities being conducted by any Winstone Retail Pvt .Ltd. Distributor , Winstone Retail Pvt .Ltd. Home Office.

Section 1: Definitions and Interpretations

Winstone Retail Pvt Ltd is a direct selling entity working and following all the norms and regulations of Government of India. Ayurvatika is the Registered Brand of Winstone Retail Pvt Ltd. Offering and Opening the PUCs in India. These are the Terms and Condition under which both parties (Winstone Retail Pvt Ltd and PUCs) are agree. After the Date of First Billing to the PUCs , this is the responsibility of the PUCs to follow the rules and regulations imposed by Winstone Retail Pvt Ltd.

Section 2: Grant of the Franchise

1. The “PUCs” warrants and represents to Winstone Retail Pvt Ltd that it is a company / firm, validly existing and a good standing under the laws of republic of India and has all requisite power and authority to enter into this agreement with Pick Up Centers / Franchise (All Types) All the obligations of the Pick Up Centers / Franchise (All Types) under this agreement are legal, valid and binding obligations enforceable in accordance with its terms. There are no proceedings pending against the Pick Up Centers / Franchise (All Types) , which may have an advice effect on the ability of the franchise to perform and meet its obligations under the agreement.

2. On consideration of the Pick Up Centers / Franchise (All Types) applications and relying on such assurances and representations that Pick Up Centers / Franchise (All Types) has made to Winstone Retail Pvt Ltd appoints the Pick Up Centers / Franchise (All Types) as a Pick Up Centers / Franchise (All Types) on the terms and conditions set forth in this agreement and in the website – www.ayurvatika.com

3. There is no product and/or service and/or territorial exclusivity granted to the “Franchise” as part of this Agreement by Winstone Retail Pvt Ltd may give such right or a similar right to persons other than Pick Up Centers / Franchise (All Types) represents word PUCs to sell AYURVATIKA’S products and services anywhere including geographic area surrounding the premises.

Section 3: Services, Terms & conditions

1. Winstone Retail Pvt Ltd would provide their entire range of PRODUCTS & services by own or through the service providers which includes online ads, offline ads, value added services and premium services to the Pick Up Centers / Franchise (All Types)

2. Pick Up Centers / Franchise (All Types) will act as a single point PRODUCTS AND SERVICE DISTRIBUTION for all the services provided by Winstone Retail Pvt Ltd falling within the purview of this agreement.

3. The entire business being on pre-payment basis, Winstone Retail Pvt Ltd will supply all the products based upon requests from Pick Up Centers / Franchise (All Types) up to limits available for Pick Up Centers / Franchise (All Types). Such limits will be equivalent to the funds available from Pick Up Centers / Franchise (All Types) with Winstone Retail Pvt Ltd at any point in time and will keep reducing with every transaction corresponding to the value of transaction in account will enhance the limit of PUCs by amounts received by it from PUCs from time to time.

4. Winstone Retail Pvt Ltd will publish commission structure and earning of the PUCs from time to time in the web site www.ayurvatika.com. The details of all transactions done by PUCs will be available on the web, login ID and password of which will be provided to PUCs by Winstone Retail Pvt Ltd “PUCs” will keep enough funds with Winstone Retail Pvt Ltd so as to cater all transactions to provide PRODUCTS to the customers.

5. The commission structure will be the same as below : MDC – Commission is 4% (1.25 Lac) MNDC – Commission is 5% (2.5 Lac) LDP – Commission is 6% (6 Lac) DDP – Commission 8% (12Lac) Stockist – Commission 9% (25Lac) C&F – Commission 10% (50 Lac) Products will be given of full value Business Development Bonus will be only given to LDP/ DDP/ Stokist and C&F Rs 6000 / Rs12000 / Rs 25000 and Rs 50000 respectively upto 6 months only. Business Development Bonus will only be released of the Stock Maintained Month. Company will release the BDB upto six months but to get this bonus the PUCs must have to maintain the 100% stock once in any date of that particular month. The DEAL will be given to PUCs in every month in between 1st of the to 10th of the month when company offer only. Rs. 1000 is software handling charge (One Time) 100% Stock Maintain once in a Month 50% Stock must be maintained every time 40% the lowest margin of stock (When software will STOP PUCs from billing.

6. All the services falling within the purview of this agreement/t&c will be made to “PUCs” based upon standard conditions of sales as set by Winstone Retail Pvt Ltd for all its “PUCs” outlets from time to time. Such conditions will generally be in line with conditions that are placed upon Winstone Retail Pvt Ltd by various service providers and also as a result of business decisions, legal and contractual requirements.

7. “PUCs” will keep providing the services within the purview of this agreement through their outlets exclusive with Winstone Retail Pvt Ltd ” PUCs will not enter into direct agreements with any other services providers, aggregators, distributors or any similar entity in India for this purpose, for the duration of this agreement.

8. The Intellectual Property rights including the concept of delivery of services will rest with Winstone Retail Pvt Ltd or its suppliers.

9. Winstone Retail Pvt Ltd and PUCs shall conduct their business at all times, in accordance with the applicable statutes, regulations, notification etc., Issued by the Government or any other statutory authority.

Section 4: Confidentiality

1. PUCs shall keep all information of confidential nature received from the Winstone Retail Pvt Ltd in whatever form as strictly confidential and shall not disclose it to third Parties without the prior written consent of Winstone Retail Pvt Ltd during the term of this Agreement.

2. PUCs agrees not to disclose revenue Information without Winstone Retail Pvt Ltd prior written consent.

Section 5: Limitation of liability

The Parties shall not be liable for any incidental, special, indirect or consequential damages arising out of or relating to this Agreement.

Section 6: Terms

This Agreement comes into force on the date of signing this Agreement (The company knows that all the PUCs are agree to this terms and Condition) )and shall continue for one year after the date of First Billing. This agreement may be extended on the mutual agreement of both parties, unless earlier terminated in accordance with the agreement by paying pendency to Winstone Retail Pvt Ltd by PUCs.

Section 7: Termination

This agreement may be terminated by either party at any time, without assigning any reason by giving prior written notice of 30 days at AYURVATIKA.PUC@GMAIL.COM and after the period of 30 days (after 30 days the PUC has to send all the materials to the company within 10 days) the company will credit the balanced amount within 90 days(Deduction applicable(Transportation, Gst &Other Conveniences) as the current Condition .But if Company terminates the PUCs with genuine charges against the PUCs the return process will not applied at any circumstances.

2. Winstone Retail Pvt Ltd shall be entitled to terminate this agreement, with immediate effect upon happening of one or more of following:
(a). Any breach or violation of any of the terms and conditions of this agreement by the PUCs if within seven (7) days of written notice from Winstone Retail Pvt Ltd. of the breach or violation, such breach or violation is not cured, provided that no cure period shall be applicable for the violation of any applicable law.
(b). Failure of the PUCs to provide the services to the customers/distributors as per the expectations of Winstone Retail Pvt Ltd
(c). Any misbehavior with any registered distributor of the Winstone Retail Pvt Ltd. In this condition company is not liable to take the rest products/material back.

Section 8: Applicable Law

This aggrement is governed by and constructed in accordance with the laws of india. TAX liabilty should be clear as the GSTIN filed timely and the TDS will be deducted as per the rule of Govt. Of India.

Section 9: Dispute Resolution and Jurisdiction

Any dispute, controversy or claims arising out of or relating to this Agreement or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the [Indian] Arbitration and Conciliation Act, 1996.

2. The arbitral tribunal shall be composed of three arbitrators, one arbitrator appointed by Winstone Retail Pvt Ltd, a second arbitrator appointed by PUCs and a third arbitrator to be appointed by such arbitrators.

3. The place of arbitration shall be at PRAYAGRAJ U.P. INDIA and any award whether interim or final, shall be made, and shall be deemed for all purposes between the Parties to be made in PRAYAGRAJ U.P. INDIA

4. The arbitral procedure shall be conducted in the English language and any award or awards shall be rendered in English. The procedural law of the arbitration shall be Indian law.

5. The award of the arbitral tribunal shall be final, conclusive and binding upon the Parties, and the provisions of the [Indian] Arbitration and Conciliation Act, 1996 shall apply.

6. The rights and obligations of the Parties under, or pursuant to, this Clause, including the arbitration agreement in this Clause, shall be governed by and be subject to Indian law, and the agreement shall be subject to the exclusive jurisdiction of the courts at Hyderabad.

This Agreement has been executed 29 October 2017 and applied to all PUCs.
